Audax incorporates Anabel and Rosa into its board

The incorporation of the new directors demonstrates the Group's firm commitment to the best practices of good corporate governance.

Audax Renovables (ADX.MC), the energy group that integrates the production and commercialization activities of electricity and renewable 100% gas, reconfigured and strengthened its Board of Directors, incorporating two women into its highest management body. The Board of Directors of Audax Renovables unanimously approved the appointment of two new directors, Anabel López Porta and Rosa González Sans, for the next four years.
 
The incorporation of female talent is in line with the best practices of good corporate governance and is reflected in the new structure and composition of the Board of Directors.
 
Anabel López, graduated in Law from the University of Barcelona and PDG from the IESE Business School with more than 16 years of experience in the renewable energy sector and capital markets, is currently responsible for the Audax Group's production portfolio and is also a member of the Board of Administration of several branches of the Audax Group. He began his professional career at Grupo Godó in 1995, working in the finance and control departments. In 2004 he joined Fersa Energías Renovables, and took over general management in 2015, fully managing the group's sale operation that culminated in a takeover bid process for Audax Energia, SA and directly participating in the reverse merger operation, which resulted in the Audax Renovables Group. She was also recently appointed member of the Board of Directors and the Audit and Compliance Committee of Grupo Ezentis, SA, representing Elétrica Nuriel, a company owned by 100% by José Elías.
 
Rosa González, with more than 12 years of experience in the energy sector and, specifically, in energy commercialization, was a founding partner of Mediaworks, SA, an advertising media center, for 11 years, joining the energy group Audax Energia since its beginning. Throughout his career at the Audax group, he held responsible positions related to the financial and human resources areas, which gave him a transversal view of the business. Reporting directly to the President of the Group, José Elías, she participated in several of the company's business operations and specifically, at an international level, leading the development and expansion in 2016 and 2017 of the Audax Group in Italy as General Director of this subsidiary until 2018. She is currently also a member of the Board of Directors of several subsidiaries of the Audax Renovables Group.
 
With the new advisors, there are now two women on the highest management body of Audax Renovables, which from now on will have six members. Following this remodeling, the presence of women now stands at 33%, exceeding the target of 30% established for 2020, and approaching the target of 40% established for 2022, following the recent revision of the Code of Good Governance.
 
Furthermore, the composition of the Board of Directors demonstrates its commitment to following the recommendations of the Code of Good Governance for listed companies published by the National Securities Market Commission in relation to diversity, both in terms of training and experience, and gender (directors represent 33% of the total number of board members), and independence (independent directors represent 33% of the total number of board members), which translates into a balanced body focused on the common objective of promoting the company's business interest through of the active contribution of value by all its members.
 
The appointments of the new directors also imply changes in the different Committees of the Board of Directors, as Anabel López also joins the Board of Directors as a member of the Audit Committee and as a member of the Appointments and Remuneration Committee.
 
 
It should also be noted that the Board of Directors has an independent coordinating director, since the president of the administrative body is an executive director, with all the functions postulated by the Code of Good Corporate Governance for this figure. Likewise, all advisory committees of the Board are composed of a majority and chaired by independent directors.
 
According to José Elías, President of the Board of Directors, "with the incorporation of Rosa González and Anabel López to the Board, we will have a greater diversity of knowledge, skills and experience, which will have a positive influence on the effectiveness of the Board and the quality of its decisions ".
 
The Audax Group, which defines itself as a comprehensive energy company with renewable 100% generation, announced a few weeks ago a change in its strategy, concentrating its efforts and resources on energy generation activity and is also preparing a new strategic plan that will soon be announced to the market.
